**Steinco Loops Royalty-Free Sample Pack License Agreement (2023) **
This License Agreement ("Agreement") is between you ("Licensee") and Steinco Loops ("Licensor"), governing the use of the Royalty-Free Sample Pack ("Sample Pack") copyrighted in 2023. By downloading, using, or accessing the Sample Pack, Licensee agrees to the following terms:
1. **License Grant: ** Licensor grants Licensee a non-exclusive, non-transferable, worldwide right to use the sounds, samples, and loops contained within the Sample Pack for personal or commercial music production, synchronization, and sound design projects.
2. **Royalty-Free: ** The Sample Pack is provided on a royalty-free basis. A licensee is not required to pay any additional fees or royalties for the use of the Sample Pack in their projects.
3. **No Clearance Needed: ** Licensee is granted the right to use the sounds, samples, and loops in the Sample Pack without the need to obtain any additional clearances or permissions.
4. **Restrictions: ** Licensee may not resell, sublicense, distribute, or make available the Sample Pack or its individual components as standalone products, whether in their original form or modified. The Sample Pack may not be used to create derivative sample libraries for resale or distribution.
5. **Attribution: ** While attribution is not required; Licensor appreciates being credited as the source of the Sample Pack in Licensee's project documentation or credits.
6. **Ownership: ** Licensor retains full ownership of the Sample Pack, including all copyrights, trademarks, and intellectual property rights associated with it.
7. **Limitation of Liability: ** The Sample Pack is provided "as-is" without any warranties. Licensor shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from the use or inability to use the Sample Pack.
8. **Termination: ** This Agreement is effective until terminated. Licensor reserves the right to terminate this Agreement if Licensee breaches any of its terms. Upon termination, Licensee must cease all use of the Sample Pack and destroy any copies.
9. **Governing Law: ** This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Licensor operates.
10. **Entire Agreement: ** This Agreement constitutes the entire understanding between Licensee and Licensor concerning the Sample Pack and supersedes all prior agreements, understandings, or representations.
